Terms and Conditions

Effective date: May 12, 2026

These Terms and Conditions (the “Terms”) govern your access to and use of the Viernes website and assistant, operated by Medio Melon S.A. de C.V. (“Medio Melon”, “we”, “us”). By accessing or using Viernes, you accept and agree to be bound by these Terms.

1. Acceptable use

When using Viernes you agree not to:

  • Use the services for any unlawful, fraudulent, harmful, or harassing purpose.
  • Attempt to gain unauthorized access to any part of the services, other users’ accounts, or our infrastructure.
  • Interfere with, disrupt, or attempt to disable Viernes, including via automated scraping, denial-of-service techniques, or attempts to bypass rate limits or security controls.
  • Reverse engineer, decompile, or attempt to extract the underlying models or prompts of the Viernes assistant except as expressly permitted by applicable law.
  • Submit to Viernes content you do not have the right to share, content that infringes third-party rights, or content that is illegal under applicable law.

2. Accounts and credentials

If a feature of Viernes requires an account, you agree to: (a) provide accurate, current, and complete information; (b) keep your credentials confidential and secure; (c) be responsible for all activity that occurs under your account; and (d) notify us promptly at privacy@viernes.io if you suspect any unauthorized use of your account.

3. Personal data: who is responsible for what

Viernes works with two layers of personal data, and they do not have the same controller. Medio Melon is the controller for the platform layer: the person record that is reused across the businesses that use Viernes. For the layer you build with your business — the contact records, the notes and the conversations of your clients — each business is the controller, and Medio Melon acts as its processor: we handle that data following your instructions and in order to provide you the service.

If you hold a Viernes account for your business, or operate one on its behalf, by using Viernes you accept that allocation and you undertake to meet, towards your clients, what the law requires of you as a controller: informing them, honoring their rights, and giving us lawful instructions. That undertaking falls only on whoever holds or operates a business account; if you reach Viernes solely as the client of a business — over WhatsApp, for instance, and with no account — it does not apply to you. The Privacy Notice describes in detail what data each layer contains and how it is handled.

4. Intellectual property

Viernes, the underlying software, models, designs, logos, and trademarks are owned by Medio Melon or its licensors and are protected by Mexican and international intellectual property laws. Subject to your compliance with these Terms, Medio Melon grants you a limited, revocable, non-exclusive, non-transferable license to access and use Viernes for its intended purpose.

You retain ownership of the content you submit to Viernes, subject to the licenses you grant us to operate, provide, secure, and improve the services. Nothing in these Terms transfers ownership of Medio Melon’s intellectual property to you.

5. Disclaimers

Viernes is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Medio Melon disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Viernes is an AI assistant; outputs may be inaccurate, incomplete, or out of date, and you are responsible for reviewing them before relying on them for any decision.

6. Limitation of liability

To the maximum extent permitted by applicable law, Medio Melon and its affiliates, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of Viernes, even if advised of the possibility of such damages. Where liability cannot be excluded by law, our aggregate liability is limited to the amount you paid Medio Melon, if any, for the service that gave rise to the claim in the twelve (12) months preceding the event.

7. Termination

We may suspend or terminate your access to Viernes at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the service is no longer commercially or technically viable. You may stop using the services at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

8. Governing law and dispute resolution

These Terms are governed by the laws of the United Mexican States, without giving effect to conflict-of-laws rules. Any dispute, controversy, or claim arising out of or relating to these Terms or to the use of Viernes will be finally resolved through binding arbitration administered in Ciudad de México, in Spanish, by an arbitral institution mutually agreed by the parties, and seated in Ciudad de México. Where mandatory consumer protection law requires otherwise, the competent courts of Ciudad de México, Mexico, will have jurisdiction.

9. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, provide additional notice through Viernes. Your continued use of the services after changes become effective constitutes acceptance of the updated Terms.

10. Contact
